Terms of Service

These Terms of Service govern your use of all services provided by INS FZ-LLC ("INS," "we," "our," or "us"), including the PROPETL software tool and the ins.ae website. Please read these terms carefully before using any INS service.

1. Acceptance of Terms

By accessing, downloading, installing, or using any INS service or the PROPETL tool, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms in full, you must not use our services.

If you are accepting these terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these terms.

2. Description of Services

INS provides the following services:

  • PROPETL — an ETL mapping and validation software tool that operates as an MCP (Model Context Protocol) server, interfacing with AI language models to generate data migration files for property-management ERP systems including Yardi Voyager.
  • AI Automation Services — workflow automation, voice agents, ad creative generation, and related consulting services.
  • Digital Transformation Consulting — go-to-market strategy, change management, and AI adoption advisory services.

PROPETL is a tool, not a managed service. It produces output files based on instructions you provide to an AI language model. INS does not perform data migration on your behalf unless engaged separately under a professional services agreement.

3. User Responsibility for ETL Output Files

This section sets out your responsibilities in relation to any ETL files generated by PROPETL. These responsibilities are a condition of your licence to use the software.

3.1 Verification Obligation

You are solely and entirely responsible for reviewing, validating, and verifying every ETL file generated by PROPETL before it is used in any way. PROPETL provides output as a starting point to assist your migration work. It does not guarantee that output files are accurate, complete, correctly formatted, or suitable for direct use in any ERP system.

Before uploading any ETL file to any system, you must:

  • Review the generated file in full and confirm it matches your source data.
  • Verify that all column mappings correspond to the current schema of your target ERP system.
  • Confirm that field types, formats, and required fields meet your ERP system's current import specification.
  • Ensure that no sensitive data has been incorrectly mapped, duplicated, or omitted.

Any damage, data loss, data corruption, business interruption, or regulatory consequence arising from uploading an unverified ETL file is entirely your responsibility. INS accepts no liability whatsoever for such outcomes.

3.2 Test-First Requirement (Mandatory Condition of Use)

As a mandatory condition of using PROPETL, you agree to the following test-first process:

  1. All ETL files generated by PROPETL must be uploaded to a dedicated test or sandbox environment first.
  2. You must confirm data accuracy, completeness, referential integrity, and system compatibility within the test environment before proceeding.
  3. Only after you have completed a successful test-environment validation — and have documented that confirmation — should you proceed to upload any ETL file to a live or production database.
  4. You must maintain a full backup of all live data before any import, regardless of whether test-environment validation was completed.

INS explicitly disclaims all liability arising from bypassing or shortcutting this process, including uploading PROPETL output directly to a live system without prior test-environment validation.

4. No Liability for ETL Format Changes and Column Mapping

ERP systems including Yardi Voyager, MRI Software, JD Edwards, and CTI regularly release updates that may alter ETL file formats, field names, field types, module structures, required fields, or import validation rules, often without prior public notice.

PROPETL's field definitions and mapping logic reflect the ERP documentation available at the time of each tool version's release. INS:

  • Does not guarantee that PROPETL's mapping definitions remain current with any ERP vendor's latest schema at any given time.
  • Assumes no responsibility for changes to ETL file formats, column names, field types, or import structures introduced by ERP vendors after a PROPETL version is released.
  • Does not warrant that any generated ETL file will be accepted by an ERP system's current import engine without modification.

You are responsible for cross-referencing PROPETL output against the current import documentation of your target ERP system version, and for making any necessary adjustments before upload.

5. AI Model Output Disclaimer

PROPETL operates as an MCP server and generates output by passing instructions to AI language models operated by third parties (including Anthropic's Claude models). The following limitations apply:

  • Model variability. Different AI models, different versions of the same model, and different prompts will produce different output for the same input data. Output is not deterministic.
  • No consistency guarantee. INS does not guarantee that PROPETL will produce consistent output across different model versions, model updates, or AI provider changes.
  • Model updates. Third-party AI providers (including Anthropic) update, fine-tune, deprecate, or replace models without notice. Such changes may alter PROPETL's output without any change being made to PROPETL itself. INS is not liable for any such changes.
  • Hallucinations and errors. AI language models can produce inaccurate, incomplete, outdated, or fabricated field mappings. All output must be independently verified before use.
  • User model selection. You are responsible for selecting an appropriate AI model for use with PROPETL and for understanding that your choice of model directly affects output quality and accuracy.

6. Service Availability and Uptime

PROPETL's MCP server depends on multiple third-party services and infrastructure components that are outside INS's control, including:

  • The Anthropic API and Claude model availability.
  • Your local Claude Desktop installation or compatible AI client.
  • Your device hardware, operating system, and network connectivity.

No uptime guarantee or service level agreement (SLA) is provided. PROPETL may be unavailable or produce degraded output due to Anthropic API outages, model deprecations, network disruptions, scheduled maintenance, or other factors beyond INS's control. INS will make reasonable efforts to communicate planned downtime but is not liable for any losses, costs, or damages arising from service unavailability.

INS.ae general consulting and automation services are similarly subject to third-party infrastructure dependencies. No SLA is implied unless expressly agreed in a separate written service agreement.

7. Risk Disclosure

You must read this section carefully before using PROPETL. By proceeding with any ETL file upload to any system, you confirm that you have read, understood, and accepted the following risks:

  • Data corruption risk. Uploading an incorrect ETL file to a live ERP database can permanently alter, overwrite, or destroy existing data. This may include tenant records, lease data, financial transactions, and ownership structures.
  • Irreversibility risk. ERP import operations may not be reversible. Incorrectly imported data may require significant manual effort — or may not be fully recoverable. You must maintain a complete, verified backup of all live data before any import operation.
  • Schema drift risk. ERP vendor updates may invalidate previously correct field mappings. A mapping that was accurate at the time of generation may be incorrect against a newer ERP version.
  • AI model output risk. AI-generated ETL files may contain errors, hallucinated field names, incorrect data types, outdated references, or logically inconsistent mappings. Independent expert review is strongly recommended before any production upload.
  • Regulatory and compliance risk. You are responsible for ensuring that all data included in ETL files complies with applicable data protection laws (including GDPR, UAE Federal Decree-Law No. 45 of 2021, HUD regulations, and any other applicable regulation). INS does not review the content of your data files.
  • Business continuity risk. Errors in a live ERP database can disrupt rent collection, reporting, compliance filings, and investor reporting. Always test in an isolated environment first.

By using PROPETL, you explicitly acknowledge these risks and confirm that you assume full responsibility for all consequences arising from your use of any generated ETL file.

8. Limitation of Liability

To the fullest extent permitted by applicable law:

  • INS's total aggregate liability to you, under any theory of liability (including contract, tort, negligence, strict liability, or otherwise), shall not exceed the total amount paid by you to INS for the specific service giving rise to the claim in the twelve (12) months immediately preceding the date the claim arose.
  • INS is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including but not limited to: loss of data, loss of revenue, loss of profits, loss of goodwill, business interruption, corruption of live databases, regulatory fines or penalties, or cost of substitute services.
  • These limitations apply even if INS has been advised of the possibility of such damages and even if any remedy set forth herein fails of its essential purpose.

9. No Warranty

PROPETL and all INS services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:

  • Implied warranties of merchantability or fitness for a particular purpose.
  • Warranties of accuracy, completeness, or reliability of any generated output.
  • Warranties that the service will be uninterrupted, error-free, or virus-free.
  • Warranties that output files will be compatible with any specific ERP version or accepted by any import engine.
  • Warranties that the service will meet your specific requirements.

10. Payment Terms

PROPETL licences are sold as one-time purchases processed via Gumroad. All sales are final. No refunds are offered after purchase. The 24-hour free trial is your evaluation period — use it to test PROPETL on your actual data before purchasing.

For the Own The Code tier ($6,888), a separate licence agreement governs white-label rights. Payment terms for general INS consulting services will be outlined in individual service agreements.

11. Intellectual Property

PROPETL's source code, algorithms, mapping logic, user interface, and documentation are © 2024–2026 INS FZ-LLC. All rights reserved.

Yardi Voyager ETL schema definitions, field specifications, and import format documentation are the intellectual property of Yardi Systems Inc. PROPETL is not affiliated with, endorsed by, or a product of Yardi Systems Inc. or any other ERP vendor. PROPETL does not reproduce or redistribute any vendor ETL format specification — it provides mapping guidance based on publicly available documentation.

Your PROPETL licence is personal and non-transferable unless otherwise agreed in writing:

  • Free Trial & Lifetime ($388): Single-organisation use only.
  • Own The Code ($6,888): White-label and resale rights subject to a separate licence agreement with INS.

12. Indemnification

You agree to indemnify, defend, and hold harmless INS, its directors, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of PROPETL or any INS service.
  • Any ETL file generated by PROPETL that you upload to any system.
  • Your violation of these Terms of Service.
  • Your violation of any applicable law or regulation.
  • Any claim by a third party arising from your use of the services.

13. Data Privacy and GDPR

This section supplements our full Privacy Policy available at ins.ae/privacy.

13.1 PROPETL Data Processing

PROPETL processes all data in-memory only on your local device. No property data, tenant data, financial data, or any other ERP data you work with is transmitted to or stored on INS servers. Your data exists in memory only for the duration of your active session and is discarded when the session ends.

Processing time is typically a matter of seconds. Retention time on INS infrastructure: zero seconds. Your files never leave your machine.

13.2 Data We Collect

INS collects only the following minimal data:

  • Licensing data — name, email address, and payment reference collected via Gumroad at the time of purchase, for licence management purposes.
  • Contact and enquiry data — information you voluntarily submit via the contact form or email.
  • Website analytics — anonymised usage data via Google Analytics (GA4) for site improvement purposes.

INS does not sell, rent, or trade your personal information to any third party.

13.3 Your Rights (GDPR / UAE)

If you are located in the European Economic Area, the United Kingdom, or the UAE, you have the following rights regarding your personal data:

  • Right of access — request a copy of the data we hold about you.
  • Right to rectification — request correction of inaccurate data.
  • Right to erasure — request deletion of your data ("right to be forgotten").
  • Right to data portability — receive your data in a structured, machine-readable format.
  • Right to object — object to processing based on legitimate interests or direct marketing.
  • Right to restrict processing — request that we limit how we use your data.

13.4 Data Processing Agreement (DPA)

Enterprise customers on the Own The Code tier who require a Data Processing Agreement (DPA) for GDPR compliance purposes may request one by emailing team@ins.ae.

13.5 Data Retention

Licensing and transactional records are retained for 7 years in accordance with UAE Federal Law No. 2 of 2015 (Commercial Companies Law). All other personal data is deleted promptly upon a verified erasure request.

13.6 Payment Data

All payments are processed by Gumroad. INS does not store, access, or process payment card data. Gumroad's privacy policy applies to payment processing.

14. Termination

INS may suspend or terminate your access to any service at any time, with or without cause and with or without notice, if we believe you have violated these Terms of Service or are using our services in a way that causes harm.

Termination does not entitle you to a refund of any licence fees paid. Sections 3, 4, 5, 7, 8, 9, 11, 12, 13, and 15 survive termination.

15. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates.

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation for a period of 30 days. If the dispute remains unresolved, it shall be submitted to the exclusive jurisdiction of the DIFC Courts (Dubai International Financial Centre Courts).

16. Amendments

INS reserves the right to update or modify these Terms at any time. For material changes, we will provide at least 14 days' notice by email to registered users and by prominently posting the updated Terms on this page. Your continued use of any INS service after the effective date of updated Terms constitutes your acceptance of those changes.
